Identify every legal and commercial role
Confirm legal entities, trade names, registration details, signatories, agents, guarantors and beneficiaries. In group structures, specify which entity performs, invoices, owns intellectual property and assumes liability.
Align language, documents and priority
Cross-border deals often involve proposals, purchase orders, schedules, platform terms and more than one language. State which documents form the agreement, their priority and the controlling language, while checking mandatory requirements that may affect use before a UAE forum.
Design payment and performance evidence
Specify currency, tax treatment, invoicing, bank details, acceptance, delivery terms, milestones and records. Include a verified procedure for changes to payment instructions because cross-border transfers are common targets for impersonation and diversion.
Select law and forum with enforcement in mind
Governing law does not automatically select the forum. Compare onshore courts, relevant free-zone courts and arbitration where available, considering jurisdiction, language, interim relief, confidentiality and where counterparties and assets are located.
Plan for disruption and exit
Address sanctions and compliance representations where relevant, force majeure, change in law, suspension, termination, transition, data return and surviving obligations. Ensure notice methods work across borders and preserve proof of delivery.
